1. Scope of Services & Custom Fabrication
Bespoke Manufacturing:Kaival Products specializes in the custom manufacturing and fabrication of Acrylic Products based on specifications, drawings, blueprints, or prototypes provided by the Client.
Design Approval:For all customized orders, the Client must provide explicit written or digital approval of the final technical drawings, dimensions, and material specifications before mass production begins.
Errors in Client Specifications:The Company is not responsible for any manufacturing defects, structural failures, or functional issues resulting from inaccuracies, omissions, or errors in the designs or blueprints provided by the Client.

2. Quotations, Pricing, and Validity
All quotes provided by Kaival Products are valid for 30 days from the date of issuance, unless stated otherwise in writing, due to fluctuating raw material costs.
Prices quoted are exclusive of statutory taxes (such as GST/VAT), shipping, custom packaging, and freight charges, unless explicitly detailed in the commercial invoice.

3. Payment Terms
Advance Deposit:For all customized and bulk production runs, a non-refundable advance payment of 50% (or as specified in the invoice) is required to initiate material procurement and fabrication.
Balance Payment:The remaining balance must be cleared in full prior to dispatch or upon delivery confirmation, depending on the agreed-upon commercial terms.
Delayed Payments:The Company reserves the right to halt production or withhold shipment if payments are not made according to the agreed schedule.

4. Production Timeline & Delivery
Lead Times:Estimated production and delivery timelines are approximations provided in good faith and begin only after the receipt of the advance deposit and final design approval.
Delays beyond Control:Kaival Products shall not be held liable for delivery delays caused by Force Majeure events, including but not limited to raw material shortages, power disruptions, transport strikes, or natural disasters.
Shipping & Risk:Unless otherwise agreed (e.g., Ex-Works), the risk of loss or damage to the goods passes to the Client once the products leave our manufacturing facility or are handed over to the designated logistics provider.

5. Cancellations, Returns, and Modifications
Custom Orders:Once a customized or bespoke order enters production following Client approval, it cannot be cancelled, refunded, or modified. The Client remains liable for the full contracted amount.
Order Modifications:Any requested modifications to the design or quantity after production has commenced will incur additional charges for materials, labour, and machine setup time.

6. Inspection, Defects, and Claims
Defect Reporting:The Client must inspect all delivered goods immediately upon receipt. Any claims regarding material defects, structural variance from approved drawings, or shortshipments must be reported in writing within 48 to 72 hours of delivery.
Limit of Liability:Acrylic is prone to minor surface scratching or tolerance variations (+/- standard industry margins) during fabrication. Minor aesthetic variances that do not impact structural integrity do not qualify as defects.
Remedying Defects:If a valid manufacturing defect is confirmed by Kaival Products, our sole obligation will be to repair or replace the defective product at our discretion.

7. Intellectual Property
Client Designs:The Client guarantees that any designs, logos, or blueprints provided to Kaival Products for manufacturing do not infringe upon the intellectual property rights of any third party. The Client agrees to indemnify the Company against any legal claims arising from such infringements.
Company Proprietary Rights:Any molds, tooling, fixture designs, or manufacturing processes developed by Kaival Products during the execution of an order remain the exclusive intellectual property of Kaival Products.

8. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the local laws governing the registered location of Kaival Products. Any disputes arising from transactions under these Terms shall be subject to the exclusive jurisdiction of the local courts where the Company's principal facility is situated.
